Anthropic's IPO Filings Show No Cancellation

Anthropic's SEC filings show no cancellation of its IPO. It amended its public S-1 on Nov 2, less than two days before an X post called the IPO cancelled.

A timeline from June to early November 2026 with two rows. The lower row, Submitted confidentially, has six dots: a draft S-1 on Jun 1 and amended drafts on Jul 13, Aug 10, Sep 4, Oct 1 and Oct 9. The upper row, Filed publicly, has two dots: the public S-1 on Oct 26 and the amended S-1 on Nov 2. A dotted line on Nov 4 marks the “IPO CANCELLED” post on X. Beside the timeline, a dashed empty box reads: Withdrawal (Form RW), none filed, as of Nov 5.

An X post on Nov 4 by @ns123abc said “Anthropic IPO CANCELLED”, citing no source. Anthropic, PBC's own filings with the SEC show no cancellation. As of Nov 5, EDGAR lists eight filings for the company's offering and no application to withdraw it. The latest, Amendment No. 1 to its S-1, was filed on Nov 2, less than two days before the post.

Four months of confidential drafts

Anthropic said on Jun 1 that it had confidentially submitted a draft S-1 registration statement to the SEC, adding that the offering “will depend on market conditions and other factors.” The draft is dated that day. Five amended drafts followed between Jul 13 and Oct 9, each marked as confidentially submitted. Three of their covers give a submission date earlier than EDGAR's filing date: Jul 10, Sep 3 and Sep 30.

A public S-1, then an amendment

On Oct 26, Anthropic filed its S-1 publicly and announced that it intends to list its Class A common stock on the Nasdaq Global Select Market under the symbol “ANT”. The announcement said the number of shares and the price range “have not yet been determined”, and that the registration statement “has not yet become effective.”

Amendment No. 1, filed on Nov 2, fills in a figure the S-1 left blank: revenue of $17.0 billion for the three months ended Sep 30, 2026. It still leaves the offering price blank, printing it as “$ per share”.

No application to withdraw

Under the SEC's Rule 477, a registration statement “may be withdrawn upon application”, which EDGAR lists as a Form RW, a “Registration Withdrawal Request”. EDGAR lists none from Anthropic, PBC, and Anthropic's newsroom has posted nothing on the offering since its Oct 26 announcement.

Anthropic's S-1 also says the company is “building towards a world where Claude can be given open-ended tasks lasting hours, days, or weeks”, which an earlier story sets against its launch posts.
